EULA - End User License Agreement

Except as expressly provided, this software product is provided as is. neither Sausoft nor the distributor makes any warranty of any kind, either expressed or implied, including, but not limited to the implied warranties of merchantability and fitness for a particular purpose.

LICENSE AND RESTRICTIONS. Licensee is permitted to install and use the Product in machine-readable form on no more than two machines solely for Licensee's use. Licensee may copy the Product only for backup purposes, provided that, Licensee reproduces all copyright and other proprietary notices that are on the original copy of the Product.

RESTRICTIONS. Except as expressly provided in this Agreement, Licensee may not (1) use, copy, display, perform, modify or create derivative works of the Product in whole or in part, or merge the Product with any third party products; (2) reverse engineer, disassemble, or otherwise attempt to discover the source code of or the internal mechanisms used by the Product; (3) rent, lease, loan, sublicense, distribute, transfer, or otherwise allow third parties to access the Product; (4) remove any proprietary or intellectual property notices or marks on the Product; or (5) otherwise use or copy Product except as expressly. Licensee shall be responsible for obtaining all hardware and software products necessary for the operation of the Product. If applicable, Licensee shall be solely responsible for obtaining Internet access necessary for the operation of the Internet-enabled functionality of the Product.

CONFIDENTIALITY. Company acknowledges that in the course of using or evaluating the Product, Company may obtain information relating to the Product and such information shall belong solely to Sausoft and includes, but is not limited to: the design, code, architecture, features, functions and modes of operation of the Product; trade secrets; inventions; techniques; strategies; programs; algorithms;other programming code; analysis and performance information; software and hardware documents; and other technical, marketing and business information. During and after the term of this Agreement, Company agrees to take all reasonable measures to maintain the confidentiality of the Proprietary Information in a manner in which Company would protect its own Proprietary Information; and to restrict access to the Product to only those employees, consultants or contractors as are necessary for the evaluation of the Product, and only after such employees, consultants or contractors have agreed in writing to be bound by provisions similar to the terms of this Agreement.

NOTICES. Any communication or notice herein shall be in writing and either personally delivered or sent via confirmed facsimile, recognized express delivery courier or certified or registered mail, prepaid and return receipt requested. Notices shall be delivered to the address specified by Licensee when the Licensed Product was ordered, or to the address above for Licensor, as the case may be, or at such other address designated in a subsequent notice. Consents required under this Agreement may be provided electronically, if they are provided in an area that recognizes electronic signatures as enforceable under the particular circumstances. All notices shall be in English, effective upon receipt or, if refused, one business week being sent as set forth above.

ASSIGNMENT. This EULA and the rights and obligations herein are personal to Licensee, and may not be otherwise transferred without Licensor's prior written consent. Any attempt to do otherwise shall be void and of no effect. Without Licensee's consent, Licensor may assign this Agreement to any third party. This Agreement shall be binding upon, and inure to the benefit of, the successors, representatives and permitted assigns of the parties.

OWNERSHIP. Sausoft and its respective licensors shall retain all rights, titles, and interests in the Product(s) subject to this Agreement, including without limitation, all existing and future trademarks, inventions, copyrights, and other proprietary rights. The Product is licensed, not sold, to Licensee, and Sausoft reserves all rights not expressly granted to Licensee.

EVALUATION LICENSES. In the event you obtained an evaluation or trial version of the Product, it will come with a trial activation key that activates the Product for a limited time period (the "Trial Period"). You may use the Product during the Trial Period for non-commercial purposes for testing purposes, to evaluate the suitability of the Product for your needs. Upon the expiration of the Trial Period you must either purchase an activation key or destroy the Product, Documentation, all backup copies thereof, and any trial activation keys you have obtained. If you do not buy an activation key prior to the expiration of the Trial Period, this Agreement, and all your rights and licenses hereunder will terminate at the expiration of the Trial Period.

PRODUCT MODIFICATIONS. Except and solely to the extent that such is prohibited under law, you may not reverse engineer, decompile, disassemble, or otherwise translate the Product or any license keys you have obtained. You may not adapt or modify the Product or any license keys that you have obtained in any way. You may make a single copy of the Product, the Documentation, and any keys that you have obtained, purely for backup purposes. Any such copies of the Product or license keys shall include any copyright or other proprietary notices that were included on such materials when you first received them.

TERM AND TERMINATION. The Agreement is executed when Licensee agrees to the conditions of this Agreement, by opening, installing, accessing, or manipulating the Product, and will terminate immediately if Licensee materially breaches any condition of this Agreement. Licensee agrees upon termination to promptly destroy any copies thereof.

AUTOMATIC UPDATES AND EXPIRATION. Your license may include an expiry date that may result in the termination of the license. For perpetual license keys, the license updates automatically except if Sausoft determines that a license is used in violation of the conditions of this Agreement. If your key is stolenor if you suspect improper outside of your control you should promptly notify Sausoft. A replacement license will be sent to you and the existing license will be expired. For subscription licenses, Sausoft has no requirement to provide warning of expiry and it is the responsibility of Licensee to ensure keys remain active.

ADDITIONAL SOFTWARE. The Product is distributed to you with various third party software components ("Third Party Software" and together with the Product) which are provided under separate license as described in more detail hereunder. Your use of the Third Party Software in conjunction with the Product, in a manner consistent with the terms of this EULA, is permitted, however, you may have wider rights under the applicable Third Party Software terms and nothing in this EULA is intended to add further restrictions on Your use of the Third Party Software. The Product may also allow connectivity with certain other third party operating systems and applications. Sausoft may not provide you with third party licenses and it is solely your responsibility to obtain all necessary software licenses from respective vendors.

PHYSICAL COPY. If you receive your first copy of the Product electronically, and another copyn media, then you may use the second copy only in accordance with your applicable license stated in this EULA, or for backup purposes. You may not give the second copy to another person or entity nor redistribute the Product to run on a platform other than its intended Platform.
The Product is Not For Resale. You may not resell, or otherwise transfer for value, the Product. You may not reverse engineer or disassemble the Product under any circumstances. You may not rent or lease the Product, nor transfer product keys. This EULA does not grant you any rights in connection with any trademarks or service marks of Sausoft.
